Introduction

Welcome to Beacons United. These Terms and Conditions (“Terms”) govern your use of the Beacons United mobile application, website, and smart wearable devices (collectively, the “Services”) operated by Beacons United Inc. (“we,” “our,” or “us”), registered in Indiana, United States.

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

1. Definitions

Throughout these Terms, the following definitions apply:

“Account” means a unique account created for you to access our Services.
“Beacon Device” means the smart wearable NFC-enabled device that we provide.
“Content” means the information that you upload, share, or display on or through the Services.
“User” means an individual who has access to and uses the Services.

2. Account Registration

To use certain features of our Services, you must register for an account. When you register, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Keep your password confidential and notify us immediately of any unauthorized access
Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, not current, or incomplete.

3. Age Restrictions

Our Services are intended for users who are at least 13 years of age. By using our Services, you represent and warrant that you are at least 13 years old. If you are under 18, you must have your parent’s or guardian’s permission to use our Services.

4. Beacon Devices

Purchase. When purchasing a Beacon Device, you agree to provide accurate payment and shipping information.

Ownership. Upon full payment, you own the physical Beacon Device; however, the software and technology within the device are licensed to you under these Terms.

Limited Warranty. We warrant that the Beacon Device will be free from defects in materials and workmanship under normal use for one (1) year from the date of purchase. This warranty does not cover damage resulting from accident, misuse, or unauthorized modifications.

5. User Content

Our Services allow you to create, upload, and share content. You retain all ownership rights to your content, but you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, modify, publicly display, and distribute such content in connection with our Services.

You represent and warrant that:

You own or have the necessary rights to share the content you post
Your content does not violate the privacy rights, publicity rights, copyright, contract rights, or any other rights of any person
Your content does not contain material that is defamatory, obscene, offensive, harassing, or otherwise objectionable

We reserve the right to remove any content that violates these Terms or that we otherwise find objectionable, without prior notice.

6. Prohibited Uses

You agree not to use our Services:

In any way that violates any applicable law or regulation
To transmit any material that is unlawful, threatening, abusive, harassing, defamatory, obscene, or invasive of another’s privacy
To impersonate or attempt to impersonate us, our employees, another user, or any other person
To engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Services
To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of our Services
To use any robot, spider, or other automatic device to access our Services
To introduce any viruses, Trojan horses, worms, or other malicious or technologically harmful material

7. Intellectual Property

The Beacons United name, logo, software, designs, and other marks are our trademarks. All other names, logos, product and service names, designs, and slogans on our Services are the trademarks of their respective owners. You must not use such marks without our prior written permission.

All intellectual property rights in the Services, including software, text, graphics, logos, icons, and images, are owned by us or our licensors. These rights are protected by United States and international intellectual property laws.

8. Third-Party Links and Services

Our Services may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by or in connection with the use of any such content, goods, or services available on or through any such websites or services.

9. Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or delete your account through the app.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; AND (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

11. Disclaimer

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Indiana, and you hereby consent to personal jurisdiction and venue therein.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding our Services and supersede and replace any prior agreements we might have had between us regarding the Services.
